These Terms & Conditions (“Terms”) govern your access to and use of MOI’s websites, portals, and services. By accessing or using our site or services, you agree to these Terms.

- Service Terms: if you are a client, creator, or vendor, specific terms in a Master Services Agreement (MSA), Statement of Work (SOW), Insertion Order (IO), or Creator Agreement will supplement and, if inconsistent, prevail over these Terms.
3) Acceptable use
You agree not to:
- Use the site/services for unlawful activities, to infringe intellectual property, or to violate privacy/publicity rights.
- Attempt to access non‑public areas, interfere with security, or disrupt our infrastructure.
- Scrape, crawl, or harvest data except as allowed by robots.txt or our prior written consent.
- Upload malicious code or infringing/defamatory/obscene content.
- Misrepresent affiliation with MOI, brands, or creators.
4) User content & license
If you submit content (e.g., briefs, testimonials, case studies, portfolio, comments):
- You grant MOI a worldwide, non‑exclusive, royalty‑free license to use, reproduce, display, distribute, and create derivative works from that content for the purposes for which it was submitted and to operate/improve our services.
- You represent that you own or have rights to submit the content and that it does not violate third‑party rights or laws.
- We may remove content that violates these Terms or the law.
5) Intellectual property
- All site materials (text, graphics, logos, designs, software) are owned by or licensed to MOI and protected by applicable IP laws.
- You may not copy, modify, distribute, or create derivative works except as expressly permitted in writing.
- Trademarks: MOI names and logos are trademarks of MOI. Other names/logos are the property of their respective owners.
6) Talent & advertising disclosure compliance
- Collaborations must follow applicable advertising standards and platform rules (e.g., clear sponsorship disclosures #ad, paid partnership).
- You are responsible for complying with local laws, including ASCI (India), ASA (UK), FTC (US), and platform disclosure tools where relevant.
- MOI may provide guidance, but final compliance rests with the publishing party unless agreed otherwise in writing.
7) Third‑party services & links
Our services may integrate third‑party platforms (e.g., social networks, analytics, payment processors). We are not responsible for third‑party services or content, which are governed by their own terms and policies.
8) No warranties
Our site and services are provided “as is” and “as available.” To the fullest extent permitted by law, MOI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant uninterrupted or error‑free operation.
9) Limitation of liability
To the maximum extent permitted by law:
- MOI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits/revenue/data, even if advised of the possibility.
- Our aggregate liability for any claim arising from or relating to these Terms or the site/services will not exceed INR 10,000 or the amount you paid to MOI for the service that gave rise to the claim in the preceding three months, whichever is greater.
- These limits do not apply to liability that cannot be limited or excluded by law.
10) Indemnity
You agree to indemnify and hold harmless MOI, its directors, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your: (a) use of the site/services; (b) violation of these Terms; or (c) infringement of any third‑party rights.
11) Payments & taxes (services)
Where services are provided under an MSA/SOW/IO:
- Fees, taxes (e.g., GST), payment milestones, and invoicing terms are defined in the governing agreement.
- Late payments may attract interest/penalties as specified in the agreement.
- Out‑of‑pocket expenses and third‑party platform/media costs are billable if agreed in writing.
12) Confidentiality
Parties may exchange confidential information under NDAs or service agreements. Each party must protect the other’s confidential information and use it only for the permitted purpose.
13) Termination
We may suspend or terminate access to the site or services if you violate these Terms, the law, or cause harm. Clauses intended to survive (e.g., IP, confidentiality, warranties, liability, indemnity) will survive termination.
14) Governing law & dispute resolution
- Governing law: Laws of India.
- Jurisdiction: Courts at Mumbai, Maharashtra, India.
- If agreed in an MSA/SOW, disputes may be resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai, conducted in English, before a sole arbitrator.
15) Changes to these Terms
We may update these Terms from time to time. Continued use after changes means you accept the updated Terms. The “Last updated” date will reflect the latest revision.
